Definition

A Statement of Work (SOW) is a formal document that defines the specific work to be performed under a contract or agreement. It outlines project scope, deliverables, timelines, responsibilities, acceptance criteria, and terms. The SOW serves as the definitive reference for what was agreed upon between parties.

A well-written SOW prevents misunderstandings by clearly stating what will and won't be delivered. It typically includes: project objectives, detailed scope of work, deliverables and milestones, timeline, roles and responsibilities, acceptance criteria, payment terms, and assumptions/exclusions.

Why It Matters

Clear SOWs prevent scope creep, disputes, and project failures. When both parties have written agreement on exactly what will be delivered, there's less room for "I thought you were doing X" conversations. This protects both the service provider (from unpaid extra work) and the client (from receiving less than expected).

SOWs also provide the foundation for change management. When project requirements evolve—as they often do—the SOW provides a baseline for evaluating change requests. You can assess whether new requests fall within scope or require additional budget and timeline adjustments.
