Common structures include flat fees ($25 per late invoice), percentage fees (1.5% monthly on overdue balance), or combinations. Policies should be clearly stated in contracts and on invoices.

Legal limits on late fees vary by jurisdiction. Some states cap consumer late fees; B2B transactions often have more flexibility. The policy must be disclosed in advance to be enforceable.

Why It Matters

Late fee policies encourage timely payment and compensate for the cost of chasing overdue invoices. However, they're only effective if disclosed upfront, applied consistently, and actually collected.

The threat of late fees often matters more than actually collecting them. Many businesses waive late fees as a goodwill gesture but use them as leverage to encourage faster payment from habitually late payers.
